Satzung des Zhineng Qigong Deutschland e.V.
Zhineng Qigong is a Qigong form, which is used as a training method for physical and mental
development and for the promotion of health, prevention and rehabilitation.
§ 1 Name, Sitz
(1) The Name of the Association is "Zhineng Qigong Germany".
It is to be registered as a federation in the register of associations.
After the registration it holds the name "e. V."
(2) It has its seat in Homberg/Efze.
§ 2 Purpose, Tasks, Use Of Funds
(1) The Association is an association of people who feel connected to the Qigong form of
Zhineng Qigong developed by Dr. Pang Ming.
(2) Als Verein fördert der Verein fachlich die Aus- und Weiterbildung von Zhineng Qigong- Kursleitern, -Lehrern und –Ausbildern in Theorie und Praxis.
(3) The Association pursues exclusively and directly charitable purposes as explained in the section "Tax-privileged purposes" of the tax code.
(4) The Association promotes public health and education, by spreading the knowledge, teachings, methods and techniques of Zhineng Qigong in the entire federal territory of Germany, as far as it serves the physical and mental development and health support.
(5) the purpose of the Association Statutes is achieved in particular by:
• die Erarbeitung und Festlegung von Ausbildungskriterien, die Pflege des Prüfungswesens sowie die Organisation und Durchführung von Ausbildungslehrgängen
• das Abhalten von Übungs- und Trainingsstunden
• die Organisation und Durchführung von Informationsveranstaltungen
• die Öffentlichkeitsarbeit durch Internet-Präsenz, auf Tagungen, in Artikeln und anderes
• der Auf- und Ausbau der Zusammenarbeit mit vor allem chinesischen Zhineng Qigong Lehrern und mit internationalen Einrichtungen, die Zhineng Qigong fördern
• die Förderung des fachspezifischen Erfahrungsaustausches
• Einladung von Gastreferenten/innen und Lehrer/Lehrerinnen aus dem In- und Ausland für Seminare
• Durchführung von Forschungsarbeiten, die sich mit der Wirkung von Zhineng Qigong-Übungen befassen
• Führen einer Liste der durch den Verein in Deutschland anerkannten Zhineng Qigong Lehrer.
(6) The Association is politically neutral and non-denominational.
(7) The fiscal year is the calendar year.
(8) The association operates on a non-profit basis; it does not primarily pursue its own economic interests.
(9) The association's funds may only be used for the purposes stipulated in its statutes. Members do not receive any payments from the association's funds.
(10) No person may be favored by expenditures that are unrelated to the association's purpose or by disproportionately high compensation.
(11) The association may provide financial support to individuals with limited means who are interested in Zhineng Qigong, enabling them to participate in Zhineng Qigong events.
§ 3 Acquisition of Membership, Membership Fees
The Association consists of:
• Ordentliche Mitglieder: Ordentliche Mitglieder können nur natürliche Personen sein.
• Ehrenmitglieder: Zum Ehrenmitglied können nur natürliche Personen ernannt werden, die sich um Zhineng Qigong besonders verdient gemacht haben. Sie können von jedem Organ des Vereins durch Antrag an den Vorstand vorgeschlagen werden. Über die Aufnahme als Ehrenmitglied entscheidet die Mitgliederversammlung. Die Ehrenmitgliedschaft ist beitragsfrei. Ehrenmitglieder haben alle Rechte eines ordentlichen Mitglieds.
• Fördermitglieder: Fördermitglied kann jede natürliche und juristische Person werden, welche die Vereinsziele durch Beiträge, Spenden und/oder Sachleistungen unterstützt. Fördermitglieder sind berechtigt, wie ordentliche Mitglieder an den Vereinsveranstaltungen teilzunehmen. Sie haben kein Stimmrecht in der Mitgliederversammlung. Sie können sich, wenn sie anerkannte Zhineng Qigong Lehrer sind, auf der Lehrerliste des Vereins einschreiben lassen.
(1) Any legally competent natural person or any legal entity willing to promote the association's purpose may acquire membership in the association upon written application. The board decides on the admission of members.
(2) A rejection of an application for membership is final and does not require justification.
(3) Every member is obligated to pay membership dues in each calendar year. The amount and due date of the annual dues are determined by the general meeting. Further details are governed by the dues regulations. The dues regulations are not part of the bylaws. They are communicated to the members in their current version by circular, notice, or similar means.

§ 4 Termination of membership
(1) The membership ends
• mit dem Tod
• durch Austritt
• durch Ausschluss aus dem Verein
• durch Streichung aus dem Mitgliederverzeichnis, wenn ein Mitglied 3 Monate mit der Entrichtung der Beiträge in Verzug ist.
Resignation must be submitted in writing to the board. It is only possible with six weeks' notice, effective at the end of the calendar year.
(2) A member may be expelled from the association if they have seriously violated the
interests of the association or acted in a manner detrimental to the association. This is
particularly the case if the member:

• den Verein in der Öffentlichkeit massiv in beleidigender Form kritisiert
• dem Verein in sonstiger Weise schweren Schaden zufügt.
The board decides on expulsion by simple majority, and this decision is final. There is no right of appeal against the expulsion decision. Any member is entitled to submit an application for expulsion.
§5 Bodies
The bodies of the association are the general meeting and the board.
§ 6 The Board
(1) Der Vorstand des Vereins i.S.v. § 26 des Bürgerlichen Gesetzbuches besteht aus 5-7 Mitgliedern, nämlich zwei bis drei Vorsitzenden, dem/ der Kassenwart*in, einem/ einer Schriftführer*in, einem/einer Ausbildungsbeauftragten sowie einem/einer Beauftragten für internationale Kontakte.
Officers must be members of the association and serve on a voluntary basis. At least half of
the board members must be from the list of Zhineng Qigong teachers maintained by the
association. The board constitutes a quorum when at least half of its members are present at
the meeting. A majority of at least two-thirds of those present is required for a resolution to be
passed.
The board members are elected by the general meeting for a term of two years. They remain
in office until the election of the next board.
(2) In den erweiterten Vorstand können bis zu sechs Beisitzer*innen berufen werden. Die Beisitzer*innen sind keine vertretungsberechtigten Mitglieder des Vorstands. Sie unterstützen den BGB-Vorstand mit konkreten oder wechselnden Aufgaben in der Vereinsarbeit oder sie übernehmen bestimmte Fach-/Aufgabengebiete. Beisitzer*innen müssen Vereinsmitglieder und ehrenamtlich tätig sein. Der erweiterte Vorstand hat kein Stimmrecht. Über die Teilnahme der Beisitzer*innen an Sitzungen des Vorstandes entscheidet der Vorstand im Sinne des BGB.
The associate members are elected by the general meeting for a term of two years. If a
member of the associate members leaves office prematurely, the vacant position can be filled
on an interim basis by a board resolution until a new election is held.
(3) Hybrid and online meetings, as well as resolutions passed by circulation (postal ballot), are permitted. Section 6, paragraphs 5 and 6, paragraph 6 apply accordingly.
(4) The association is represented externally by two members of the board.
(5) Legal transactions with a value exceeding €10,000 are binding on the association only if they have been concluded with the approval of the general meeting.
(6) The board is responsible for:

2. die Ausführung der Beschlüsse der Mitgliederversammlung,
3. die Verwaltung des Vereinsvermögens,
4. die Aufstellung eines Haushaltsplans für jedes Geschäftsjahr,
5. die Buchführung,
6. die Erstellung des Jahresberichts,
7. die Vorbereitung und die Einberufung der Mitgliederversammlung,
8. die Organisation und Umsetzung der Ausbildung und Abschlussprüfungen.
If a member of the board resigns during their term of office, the board may appoint a replacement from among the association's members. The co-opted board member has the same rights and obligations as all other board members.
§7 The General Meeting, Jurisdiction, Convening
(1) The General Meeting is responsible for:
1. die Wahl und Abberufung der Vorstandsmitglieder
2. die Wahl des Schatzmeisters
3. die Entgegennahme des Jahresberichts und die Entlastung des Vorstands
4. die Festsetzung der Höhe und der Fälligkeit des Jahresbeitrages und
5. die Beschlussfassung über Satzungsänderungen und die Auflösung des Vereins
(2) All members are entitled to participate in the general meeting. The ordinary general meeting is held at least once a year. It is convened by written invitation from the board of directors, observing a notice period of two weeks. The invitation must include an agenda and the items to be voted on. All members present are entitled to vote. A member may be represented at the general meeting by a proxy who is also a member, with written authorization. A proxy may not represent more than one member. Authorization must be granted separately for each general meeting. If an absent member is represented by another member, a written power of attorney must be submitted to a member of the board of directors before the general meeting.
(3) Resolutions at the general meeting are passed by a show of hands with a simple majority. A secret ballot will be held upon request. Amendments to the articles of association require a three-quarters majority of the votes cast. The dissolution of the association can only be resolved by a four-fifths majority. The amendment of the association's purpose pursuant to § 33 /1 aentence 2 of the German Civil Code (BGB) shall be decided by the general meeting with a majority of three-quarters of the valid votes cast.
(4) The general meeting shall have a quorum if at least 10% of the ordinary members are present after proper notice has been given. If the number of members present is less than 10%, the meeting shall be adjourned by the chairperson. Subsequently, a new meeting shall be scheduled promptly (within a period of no more than one week after the original date). The 10% quorum requirement may be disregarded in this case.
(5) Resolutions passed at general meetings shall be recorded in writing and signed by the secretary.
§ 8 Extraordinary General Meeting
An extraordinary general meeting may be convened if this appears necessary in the service of
the association's interests, or if at least one-tenth of the members request such a meeting in
writing, stating the reasons, to a member of the board. In urgent cases, amendments to the
articles of association may also be decided upon at the extraordinary general meeting.
§ 9 Local Groups
Local groups may be established for training purposes after consultation with the association.
Prerequisite: At least one participant must be a member of the association. Local groups are
listed on the association's website. Organization is the responsibility of the local group
members. The association provides no financial support and assumes no liability.
§ 10 Auflösung des Vereins, Liquidatoren
(1) Resolutions
Amendments to the purpose and the dissolution of the association may only be resolved at a
general meeting with the majority of votes stipulated in these articles of association. The
motion to dissolve the association must be explicitly included in the agenda.
(2) Transfer of assets
Bei Auflösung des Vereins oder bei Wegfall steuerbegünstigter Zwecke fällt das Vermögen an dasHospiz Kellerwald, Bahnhofstr. 60A in 34630 Gilserberg, das esunmittelbar und ausschließlich für gemeinnützige, mildtätige oder kirchliche Zwecke zuverwenden hat.
(3) The chairperson and the treasurer shall be appointed as liquidators unless the general meeting decides otherwise.
§ 11 Salvatorische Klausel
Should individual provisions of these bylaws become invalid or unenforceable, the validity of
the remaining provisions shall remain unaffected.
The general meeting authorizes the board of directors to independently make amendments to the bylaws that become necessary due to objections raised by the competent registry court or the tax office and that do not affect the core content of a previously adopted amendment. The board of directors must adopt the textual amendment by unanimous majority. This amendment must be announced at the general meeting following the resolution.
§ 12 Schlussbestimmungen
The original bylaws were unanimously adopted at the founding meeting on February 7, 2016.
They shall enter into force upon registration of the association in the register of associations.
Die nächste Satzungsänderung wurde von der Mitgliederversammlung am 17.02.2018 mit der erforderlichen Mehrheit beschlossen. Eine weitere Satzungsänderung, sowie die Sitzverlegung nach Homberg/Efze wurde in der Mitgliederversammlung am 5.3.2022 beschlossen. Die aktuelle Satzungsänderung wurde von der Mitgliederversammlung am 6.4.2024 mit der erforderlichen Mehrheit beschlossen.
