V.\"<br>(2) It has its seat in Homberg\/Efze.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>\u00a7 2 Purpose, Tasks, Use Of Funds<\/strong><br>(1) The Association is an association of people who feel connected to the Qigong form of\nZhineng Qigong developed by Dr. Pang Ming.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">(2) Als Verein f\u00f6rdert der Verein fachlich die Aus- und Weiterbildung von Zhineng Qigong- Kursleitern, -Lehrern und \u2013Ausbildern in Theorie und Praxis.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">(3) The Association pursues exclusively and directly charitable purposes as explained in the\nsection &quot;Tax-privileged purposes&quot; of the tax code.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">(4) The Association promotes public health and education, by spreading the knowledge,\nteachings, methods and techniques of Zhineng Qigong in the entire federal territory of Germany, as far as it serves the physical and mental development and health support.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">(5) the purpose of the Association Statutes is achieved in particular by:<br>\u2022 die Erarbeitung und Festlegung von Ausbildungskriterien, die Pflege des Pr\u00fcfungswesens sowie die Organisation und Durchf\u00fchrung von Ausbildungslehrg\u00e4ngen<br>\u2022 das Abhalten von \u00dcbungs- und Trainingsstunden<br>\u2022 die Organisation und Durchf\u00fchrung von Informationsveranstaltungen<br>\u2022 die \u00d6ffentlichkeitsarbeit durch Internet-Pr\u00e4senz, auf Tagungen, in Artikeln und anderes<br>\u2022 der Auf- und Ausbau der Zusammenarbeit mit vor allem chinesischen Zhineng Qigong Lehrern und mit internationalen Einrichtungen, die Zhineng Qigong f\u00f6rdern<br>\u2022 die F\u00f6rderung des fachspezifischen Erfahrungsaustausches<br>\u2022 Einladung von Gastreferenten\/innen und Lehrer\/Lehrerinnen aus dem In- und Ausland f\u00fcr Seminare<br>\u2022 Durchf\u00fchrung von Forschungsarbeiten, die sich mit der Wirkung von Zhineng Qigong-\u00dcbungen befassen<br>\u2022 F\u00fchren einer Liste der durch den Verein in Deutschland anerkannten Zhineng Qigong Lehrer.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">(6) The Association is politically neutral and non-denominational.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">(7) The fiscal year is the calendar year.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">(8) The association operates on a non-profit basis; it does not primarily pursue its own\neconomic interests.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">(9) The association&#039;s funds may only be used for the purposes stipulated in its statutes.\nMembers do not receive any payments from the association&#039;s funds.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">(10) No person may be favored by expenditures that are unrelated to the association&#039;s purpose\nor by disproportionately high compensation.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">(11) The association may provide financial support to individuals with limited means who are\ninterested in Zhineng Qigong, enabling them to participate in Zhineng Qigong events.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>\u00a7 3 Acquisition of Membership, Membership Fees<\/strong><br>The Association consists of:<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">\u2022 Ordentliche Mitglieder: Ordentliche Mitglieder k\u00f6nnen nur nat\u00fcrliche Personen sein.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">\u2022 Ehrenmitglieder: Zum Ehrenmitglied k\u00f6nnen nur nat\u00fcrliche Personen ernannt werden, die sich um Zhineng Qigong besonders verdient gemacht haben. Sie k\u00f6nnen von jedem Organ des Vereins durch Antrag an den Vorstand vorgeschlagen werden. \u00dcber die Aufnahme als Ehrenmitglied entscheidet die Mitgliederversammlung. Die Ehrenmitgliedschaft ist beitragsfrei. Ehrenmitglieder haben alle Rechte eines ordentlichen Mitglieds.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">\u2022 F\u00f6rdermitglieder: F\u00f6rdermitglied kann jede nat\u00fcrliche und juristische Person werden, welche die Vereinsziele durch Beitr\u00e4ge, Spenden und\/oder Sachleistungen unterst\u00fctzt. F\u00f6rdermitglieder sind berechtigt, wie ordentliche Mitglieder an den Vereinsveranstaltungen teilzunehmen. Sie haben kein Stimmrecht in der Mitgliederversammlung. Sie k\u00f6nnen sich, wenn sie anerkannte Zhineng Qigong Lehrer sind, auf der Lehrerliste des Vereins einschreiben lassen.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">(1) Any legally competent natural person or any legal entity willing to promote the\nassociation&#039;s purpose may acquire membership in the association upon written application.\nThe board decides on the admission of members.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">(2) A rejection of an application for membership is final and does not require justification.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">(3) Every member is obligated to pay membership dues in each calendar year. The amount\nand due date of the annual dues are determined by the general meeting. Further details are\ngoverned by the dues regulations. The dues regulations are not part of the bylaws. They are\ncommunicated to the members in their current version by circular, notice, or similar means.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">(4) Members rights &amp; obligations<br>\u2022 Sitz \u2013 und Stimmrecht in der Mitgliederversammlung<br>\u2022 Informations- und Auskunftsrechte<br>\u2022 das Recht auf Teilhabe und Nutzung der Angebote des Vereins<br>\u2022 das aktive und passive Wahlrecht bei Erf\u00fcllung der satzungsgem\u00e4\u00dfen Voraussetzungen<br>\u2022 Verschwiegenheit \u00fcber Vereinsbelange zu wahren<br>\u2022 p\u00fcnktlich und fristgem\u00e4\u00df die festgesetzten Beitr\u00e4ge zu erbringen<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>\u00a7 4 Termination of membership<\/strong><br>(1) The membership ends<br>\u2022 mit dem Tod<br>\u2022 durch Austritt<br>\u2022 durch Ausschluss aus dem Verein<br>\u2022 durch Streichung aus dem Mitgliederverzeichnis, wenn ein Mitglied 3 Monate mit der Entrichtung der Beitr\u00e4ge in Verzug ist.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Resignation must be submitted in writing to the board. It is only possible with six weeks&#039;\nnotice, effective at the end of the calendar year.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">(2) A member may be expelled from the association if they have seriously violated the\ninterests of the association or acted in a manner detrimental to the association. This is\nparticularly the case if the member:<br>\u2022 Mitglieder des Vorstandes in der \u00d6ffentlichkeit beleidigt<br>\u2022 den Verein in der \u00d6ffentlichkeit massiv in beleidigender Form kritisiert<br>\u2022 dem Verein in sonstiger Weise schweren Schaden zuf\u00fcgt.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The board decides on expulsion by simple majority, and this decision is final. There is no\nright of appeal against the expulsion decision. Any member is entitled to submit an\napplication for expulsion.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>\u00a75 Bodies<\/strong><br>The bodies of the association are the general meeting and the board.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>\u00a7 6 The Board<\/strong><br>(1) Der Vorstand des Vereins i.S.v. \u00a7 26 des B\u00fcrgerlichen Gesetzbuches besteht aus 5-7 Mitgliedern, n\u00e4mlich zwei bis drei Vorsitzenden, dem\/ der Kassenwart*in, einem\/ einer Schriftf\u00fchrer*in, einem\/einer Ausbildungsbeauftragten sowie einem\/einer Beauftragten f\u00fcr internationale Kontakte.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Officers must be members of the association and serve on a voluntary basis. At least half of\nthe board members must be from the list of Zhineng Qigong teachers maintained by the\nassociation. The board constitutes a quorum when at least half of its members are present at\nthe meeting. A majority of at least two-thirds of those present is required for a resolution to be\npassed.<br>The board members are elected by the general meeting for a term of two years. They remain\nin office until the election of the next board.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">(2) In den erweiterten Vorstand k\u00f6nnen bis zu sechs Beisitzer*innen berufen werden. Die Beisitzer*innen sind keine vertretungsberechtigten Mitglieder des Vorstands. Sie unterst\u00fctzen den BGB-Vorstand mit konkreten oder wechselnden Aufgaben in der Vereinsarbeit oder sie \u00fcbernehmen bestimmte Fach-\/Aufgabengebiete. Beisitzer*innen m\u00fcssen Vereinsmitglieder und ehrenamtlich t\u00e4tig sein. Der erweiterte Vorstand hat kein Stimmrecht. \u00dcber die Teilnahme der Beisitzer*innen an Sitzungen des Vorstandes entscheidet der Vorstand im Sinne des BGB.<br>The associate members are elected by the general meeting for a term of two years. If a\nmember of the associate members leaves office prematurely, the vacant position can be filled\non an interim basis by a board resolution until a new election is held.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">(3) Hybrid and online meetings, as well as resolutions passed by circulation (postal ballot),\nare permitted. Section 6, paragraphs 5 and 6, paragraph 6 apply accordingly.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">(4) The association is represented externally by two members of the board.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">(5) Legal transactions with a value exceeding \u20ac10,000 are binding on the association only if\nthey have been concluded with the approval of the general meeting.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">(6) The board is responsible for:<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">1. die F\u00fchrung der laufenden Gesch\u00e4fte,<br>2. die Ausf\u00fchrung der Beschl\u00fcsse der Mitgliederversammlung,<br>3. die Verwaltung des Vereinsverm\u00f6gens,<br>4. die Aufstellung eines Haushaltsplans f\u00fcr jedes Gesch\u00e4ftsjahr,<br>5. die Buchf\u00fchrung,<br>6. die Erstellung des Jahresberichts,<br>7. die Vorbereitung und die Einberufung der Mitgliederversammlung,<br>8. die Organisation und Umsetzung der Ausbildung und Abschlusspr\u00fcfungen.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">If a member of the board resigns during their term of office, the board may appoint a\nreplacement from among the association&#039;s members. The co-opted board member has the\nsame rights and obligations as all other board members.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>\u00a77 The General Meeting, Jurisdiction, Convening<\/strong><br>(1) The General Meeting is responsible for:<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">1. die Wahl und Abberufung der Vorstandsmitglieder<br>2. die Wahl des Schatzmeisters<br>3. die Entgegennahme des Jahresberichts und die Entlastung des Vorstands<br>4. die Festsetzung der H\u00f6he und der F\u00e4lligkeit des Jahresbeitrages und<br>5. die Beschlussfassung \u00fcber Satzungs\u00e4nderungen und die Aufl\u00f6sung des Vereins<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">(2) All members are entitled to participate in the general meeting. The ordinary general\nmeeting is held at least once a year. It is convened by written invitation from the board of\ndirectors, observing a notice period of two weeks. The invitation must include an agenda and\nthe items to be voted on. All members present are entitled to vote. A member may be\nrepresented at the general meeting by a proxy who is also a member, with written\nauthorization. A proxy may not represent more than one member. Authorization must be\ngranted separately for each general meeting. If an absent member is represented by another\nmember, a written power of attorney must be submitted to a member of the board of directors before the general meeting.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">(3) Resolutions at the general meeting are passed by a show of hands with a simple majority.\nA secret ballot will be held upon request. Amendments to the articles of association require a three-quarters majority of the votes cast. The dissolution of the association can only be resolved by a four-fifths majority. The amendment of the association's purpose pursuant to \u00a7 33 \/1 aentence 2 of the German Civil Code (BGB) shall be decided by the general meeting with a majority of three-quarters of the valid votes cast.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">(4) The general meeting shall have a quorum if at least 10% of the ordinary members are\npresent after proper notice has been given. If the number of members present is less than 10%,\nthe meeting shall be adjourned by the chairperson. Subsequently, a new meeting shall be\nscheduled promptly (within a period of no more than one week after the original date). The\n10% quorum requirement may be disregarded in this case.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">(5) Resolutions passed at general meetings shall be recorded in writing and signed by the\nsecretary.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>\u00a7 8 Extraordinary General Meeting<\/strong><br>An extraordinary general meeting may be convened if this appears necessary in the service of\nthe association&#039;s interests, or if at least one-tenth of the members request such a meeting in\nwriting, stating the reasons, to a member of the board. In urgent cases, amendments to the\narticles of association may also be decided upon at the extraordinary general meeting.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>\u00a7 9 Local Groups<br><\/strong>Local groups may be established for training purposes after consultation with the association.\nPrerequisite: At least one participant must be a member of the association. Local groups are\nlisted on the association&#039;s website. Organization is the responsibility of the local group\nmembers. The association provides no financial support and assumes no liability.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>\u00a7 10 Aufl\u00f6sung des Vereins, Liquidatoren<\/strong><br>(1) Resolutions<br>Amendments to the purpose and the dissolution of the association may only be resolved at a\ngeneral meeting with the majority of votes stipulated in these articles of association. The\nmotion to dissolve the association must be explicitly included in the agenda.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">(2) Transfer of assets<br>Bei Aufl\u00f6sung des Vereins oder bei Wegfall steuerbeg\u00fcnstigter Zwecke f\u00e4llt das Verm\u00f6gen an dasHospiz Kellerwald, Bahnhofstr. 60A in 34630 Gilserberg<em>, <\/em>das esunmittelbar und ausschlie\u00dflich f\u00fcr gemeinn\u00fctzige, mildt\u00e4tige oder kirchliche Zwecke zuverwenden hat.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">(3) The chairperson and the treasurer shall be appointed as liquidators unless the general\nmeeting decides otherwise.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>\u00a7 11 Salvatorische Klausel<\/strong><br>Should individual provisions of these bylaws become invalid or unenforceable, the validity of\nthe remaining provisions shall remain unaffected.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The general meeting authorizes the board of directors to independently make amendments to\nthe bylaws that become necessary due to objections raised by the competent registry court or\nthe tax office and that do not affect the core content of a previously adopted amendment. The\nboard of directors must adopt the textual amendment by unanimous majority. This\namendment must be announced at the general meeting following the resolution.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>\u00a7 12 Schlussbestimmungen<br><\/strong>The original bylaws were unanimously adopted at the founding meeting on February 7, 2016.\nThey shall enter into force upon registration of the association in the register of associations.<br>Die n\u00e4chste Satzungs\u00e4nderung wurde von der Mitgliederversammlung am 17.02.2018 mit der erforderlichen Mehrheit beschlossen. Eine weitere Satzungs\u00e4nderung, sowie die Sitzverlegung nach Homberg\/Efze wurde in der Mitgliederversammlung am 5.3.2022 beschlossen.
